Supplier Terms & Conditions

A WholeMatt Supplier is a business or individual who applies to supply products to sellers within our shared retail network. As a supplier, you are listed in our supplier directory and connected with relevant sellers based on matching product categories.

Suppliers do not occupy physical shelf space. Instead, you supply goods to our sellers who then display and sell them in our shops. You set your own prices and terms of supply directly with each seller.

WholeMatt acts as a connector and platform provider — we do not take a cut of supplier-to-seller transactions. We simply facilitate the relationship.

To become a listed supplier, you must submit a complete application through the WholeMatt platform, including your business details, contact information, product categories you supply, and a brief description of your offerings.

A one-time, non-refundable application fee is payable at the time of application. This fee covers the administrative costs of reviewing your application, verifying your credentials, and setting you up in the system.

Our team will review your application within 2–3 business days and notify you by email of the outcome. If approved, you will be granted access to the supplier portal.

We reserve the right to approve or reject applications at our discretion, based on product category fit, business legitimacy, and available capacity. Rejected applicants may reapply after addressing any noted concerns.

Once approved, you may upload your product catalogue and price lists through the supplier portal. These will be visible to relevant sellers within our network.

You are responsible for keeping your price lists accurate and up to date. Prices displayed on the platform should reflect actual available pricing — misleading prices may result in suspension of your supplier account.

All products you supply must be genuine, legally sourced, and safe for retail sale in Kenya. WholeMatt reserves the right to remove any listings that violate this clause.

WholeMatt is a facilitator. Direct supply transactions, invoicing, and payment arrangements are conducted directly between the supplier and seller. WholeMatt is not a party to these individual supply agreements.

You are responsible for issuing your own invoices to sellers, managing credit terms, and chasing payments. WholeMatt does not guarantee seller payment of your invoices.

If a seller defaults on payment to you, WholeMatt may assist with communication as a goodwill gesture — but we have no legal liability for seller-to-supplier debts.

You must maintain a professional and respectful relationship with WholeMatt staff, our sellers, and any shop attendants you interact with. We are one community — respect is non-negotiable.

You must not engage in any exclusive dealing arrangements that attempt to lock sellers out of sourcing from other suppliers. Competition is healthy — we don't restrict it.

Any misrepresentation of your products, credentials, or pricing may result in immediate removal from the platform without a refund of your application fee.

WholeMatt may suspend or permanently remove a supplier account if conduct is found to be harmful to the platform, its sellers, or its reputation.

All disputes must first be raised internally through the WholeMatt platform or directly with our management team. We believe strongly in resolving issues through open, respectful dialogue — and we commit to taking every concern seriously.

We will acknowledge all formal disputes within 3 business days and work toward resolution within 14 business days.

Disputes must not be escalated to social media or public channels before the internal process has been fully completed. We ask this in the spirit of fairness and professionalism.

Only if internal resolution is genuinely impossible will matters be escalated to mediation or, as a final resort, the courts of the Republic of Kenya. These Terms are governed by Kenyan law.

WholeMatt may update these Terms from time to time. When we do, we'll notify active suppliers through the platform at least 14 days before changes take effect.

Continued use of the supplier portal after the effective date of any update constitutes acceptance of the revised Terms.
